The Transaction Advisory Services Group is seeking a hands-on Manager or Senior Manager to lead the tax consulting practice of the group. This role is focused on the tax aspects of buy-side and sell-side M&A transactions, including tax due diligence, transaction structuring, and post-close tax planning. The ideal candidate will bring deep technical knowledge across federal, state and local, and transaction-related tax matters, and will be comfortable advising clients and internal stakeholders throughout the deal lifecycle. This position may be performed remotely, with travel to the Troy, MI office once every 1-2 months.
Responsibilities:
- Lead buy-side and sell-side tax due diligence engagements for middle-market transactions, with a focus on identifying historical and contingent tax exposures, transaction-related risks, and structuring considerations.
- Perform and review technical tax analyses across U.S. federal income tax, state and local income/franchise tax, sales and use tax, employment tax, and personal property tax.
- Advise clients on the tax consequences of various transaction structures, including asset acquisitions, stock acquisitions, mergers, reorganizations, and legal entity restructurings.
- Evaluate how transaction structure, financing arrangements, and purchase price allocations affect the overall tax profile and economics of a deal.
- Analyze tax attributes and exposure items, including areas such as NOLs, tax credit carryforwards, nexus, apportionment, withholding, indirect tax liabilities, and employment tax compliance.
- Prepare and present tax due diligence reports, risk summaries, and technical memoranda for clients, buyers, sellers, and other stakeholders.
- Provide technical input on purchase agreement provisions, including tax-related representations, indemnities, covenants, and purchase price adjustment considerations.
- Advise on post-acquisition integration matters, including legal entity alignment, tax compliance transitions, and tax-efficient operational structuring.
- Lead client meetings, management interviews, and target site visits to gather, assess, and validate information relevant to complex tax issues and transaction assumptions.
- Collaborate closely with professionals across financial due diligence, tax compliance, audit, and consulting to deliver an integrated transaction advisory solution aligned with the client’s business and investment objectives.
- Support practice development by identifying emerging market opportunities, contributing to transaction tax solution design, and cultivating relationships with clients, private equity groups, attorneys, bankers, and referral sources.
- Mentor and develop junior team members by providing technical guidance, engagement leadership, and coaching on transaction advisory methodology and client delivery.
Qualifications:
- Bachelor’s Degree in Accounting, Finance, or a related field required
- CPA or JD required; Masters in Taxation preferred
- A minimum of 7 years of relevant experience, 3 years of Transaction Advisory experience required.
- Demonstrated technical expertise in U.S. federal tax, state and local tax, and transaction structuring; Strong understanding of the tax implications of asset vs. stock transactions, legal entity structures, and post-close integration planning.
- Strong analytical, quantitative, and problem-solving skills, with the ability to assess tax risk and communicate practical recommendations
- Experience managing multiple concurrent engagements, leading project teams, and delivering high-quality work under tight transaction timelines.
- Excellent written and verbal communication skills, including the ability to explain complex tax concepts to executive-level and non-technical stakeholders Strong interpersonal and relationship building skills
- Advanced Excel and financial analysis skills preferred; proficiency in Microsoft Office required
- Ability to travel up to 10%
